Terms and Conditions

1. Acceptance of Terms

By accessing or using the ReviewBarter platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

2. Service Description

ReviewBarter is a fair-exchange platform where business owners collectively build and strengthen their online reputations through peer-based reviews.

The Service operates on a credit-based system where users earn credits by providing authentic feedback to other businesses, which can then be used to receive reviews for their own business on platforms like Google, Yelp, and Facebook.

Note: ReviewBarter is not a "review for sale" service. We are a peer-to-peer support network that facilitates the exchange of genuine, peer-based feedback between business owners.

3. Eligibility & Registration

To use our Service, you must:

• Be at least 18 years of age
• Be a legitimate business owner, freelancer, or service provider
• Have a verifiable business presence
• Provide accurate and complete registration information
• Maintain the security of your password and accept all risks of unauthorized access

You may not use the Service if you have previously been removed or banned from ReviewBarter.

4. Credit System

Our Service operates on a 1-for-1 credit exchange system:

• Earning Credits: For each genuine review you post for another business on our platform, you earn 1 credit.
• Spending Credits: Your credits are automatically used when another member posts a review for your business.
• Credit Expiration: Credits do not expire as long as your account remains active and in good standing.
• Zero Credits: If you have zero credits, your business profile will not be assigned to other members for review until you earn more credits.

5. Subscription & Fees

Free Tier

Signing up and receiving your first 3 reviews is completely free. No credit card is required to start.

Paid Subscription

After receiving your 3rd free review, a monthly subscription is required to continue using the platform unlimitedly.

Cancellation

You may cancel your subscription at any time. If you cancel:

• You will not be charged again
• You will lose the ability to receive new reviews once your current billing period ends
• Any unused credits will be frozen

Reactivation

If you choose to re-subscribe after canceling, a one-time reactivation fee of $99 will be required to restore your full account access and benefits. This fee is waived for your first subscription.

Fee Changes

ReviewBarter reserves the right to change subscription fees with 30 days notice. Continued use of the Service after fee changes constitutes acceptance of the new fees.

6. User Responsibilities

As a user of ReviewBarter, you agree to:

• Provide accurate business information
• Write genuine, honest reviews based on professional assessment
• Verify reviews with screenshots and direct links as requested
• Maintain the confidentiality of your account
• Comply with all applicable laws and regulations
• Not engage in any fraudulent or deceptive practices

7. Review Guidelines

All reviews posted through our Service must adhere to the following guidelines:

Authenticity

Reviews must be based on your professional assessment of the business as a peer. You are not required to have been a customer, but you must conduct research on the business using the information provided.

Content Standards

Reviews should:

• Be original and written by you
• Focus on verifiable business strengths (website, services, portfolio)
• Be honest and reflect your genuine professional opinion
• Be written from a peer perspective (e.g., "As a fellow business owner...")

Prohibited Content

Reviews must not contain:

• Fabricated stories about nonexistent transactions
• False or misleading information
• Profanity, hate speech, or discriminatory language
• Personal attacks or harassment
• Confidential or proprietary information

Verification

You must provide proof of review posting through screenshots and direct links to the published review. ReviewBarter may use automated and manual verification processes.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Creating multiple accounts to game the system
• Writing fake, misleading, or low-quality reviews
• Copy-pasting generic reviews across multiple businesses
• Attempting to manipulate review ratings through artificial means
• Harassing other users or ReviewBarter staff
• Using the Service for any illegal or unauthorized purpose
• Violating any laws in your jurisdiction
• Attempting to interfere with or compromise system integrity

Violation of these prohibitions may result in immediate termination of your account and forfeiture of any credits or subscription fees.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription.

All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

ReviewBarter does not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service will meet your requirements

11. Limitation of Liability

In no event shall ReviewBarter, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

This limitation of liability section applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if ReviewBarter has been advised of the possibility of such damage.

12. Indemnification

You agree to defend, indemnify, and hold harmless ReviewBarter and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any content that you post or share through the Service

13. Privacy

Your privacy is important to us. Please read our Privacy Policy for information regarding how we collect, use, and disclose your personal information.

By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

Data Usage: We do not sell your personal data. Your business information is only shared with other members for the purpose of leaving a review.

14. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
